1 Scope and Business Information
1.1 SDS EUROPE LTD (trading as “SDS”) operates sds.net. Company number: 16469690. Registered office: 66 Paul Street, London, EC2A 4NA. VAT number: GB 502 1436 45. Operational trading address: D1, 27 Design Centre, Fulham, London, SW6 2QA. Contact: sds.net/contact.
1.2 These Terms of Service (“Terms”) apply to all site visitors, buyers, and sellers trading in equipment via sds.net. Accessing or using our service constitutes acceptance of these Terms.

2 Eligibility and User Accounts
2.1 You must be at least 18 years old to make a purchase, register an account, or submit equipment for trade-in.
2.2 You are responsible for keeping your login credentials secure at sds.net/account. You accept full responsibility for all activities occurring under your account.

3 Buying Equipment and Pricing
3.1 All second-hand items are inspected and graded prior to listing: Like New (near-perfect, minimal signs of use, low shutter count, clear optics), Excellent (light signs of careful use, 100% operational, clean sensor, minor cosmetic wear), Good (visible cosmetic wear, fully operational, moderate shutter count, minor dust), Well Used (heavy cosmetic wear, high shutter count, worn grips, fully operational unless noted), and Faulty (known faults, sold AS-IS for parts or repair, excluded from change-of-mind returns).
3.2 Used items are sold under the UK VAT Margin Scheme (Notice 718). Input VAT cannot be reclaimed by commercial buyers.
3.3 An order is an offer to buy. Contract formation occurs only when SDS dispatches the item and issues a dispatch confirmation email. SDS reserves the right to cancel and refund any order prior to dispatch due to pricing errors, inventory issues, or failed pre-shipment checks.

4 Selling or Trading-In Equipment to SDS
4.1 You represent that you are the sole legal owner of any equipment submitted for trade-in, free of liens, encumbrances, or third-party claims, and that items are not stolen or counterfeit.
4.2 Online quotes are provisional. Final payouts are confirmed only after physical inspection at our hub.
4.3 You must only send items and accessories explicitly listed in your quote (camera body and declared original manufacturer accessories). Any additional, unquoted items or accessories sent to us carry zero trade-in value, and legal ownership transfers to SDS immediately upon receipt. SDS retains the right to keep, sell, or dispose of unquoted items and has no obligation to track, store, or return them.
4.4 If inspection reveals discrepancies, a revised offer will be issued via your account. You have 7 calendar days to accept or reject. If rejected, SDS returns the item to your UK address free of charge.
4.5 Serial numbers are checked against database registers. If an item is flagged or suspected as stolen, SDS will hold the item, withhold payout, and notify UK law enforcement. Stolen items will not be returned.

5 Limitation of Liability and Indemnity
5.1 To the maximum extent permitted by English law, SDS is not liable for indirect, special, or consequential losses (including loss of profits, data, or business opportunities). SDS’s total liability for any claim shall not exceed the purchase price paid for the item.
5.2 Nothing in these terms limits liability for death, personal injury caused by negligence, fraud, or statutory consumer rights under the Consumer Rights Act 2015.

6 Governing Law and Jurisdiction
6.1 These terms are governed by the laws of England and Wales, with exclusive jurisdiction in the courts of England and Wales.
