Welcome to SDS. These Terms and Conditions ("Terms") explain how our platform works and the responsibilities of SDS, our customers and our business partners. SDS / SDS Compare is operated by SDS Europe Ltd, registered in England and Wales under company number 16469690, with its registered office at 66 Paul Street, London, EC2A 4NA ("SDS", "we", "us" or "our"). By using our platform, you agree to these Terms. 1. About SDS 1.1 SDS is an online comparison platform. It helps people compare used products listed for sale by independent retailers and dealers, and connects people wishing to sell used products with independent businesses ("Partners") interested in purchasing them. 1.2 SDS does not sell products, hold stock or purchase your products, and never takes ownership of them. We help you compare listings and purchase offers and manage the selling process. 1.3 All offers are made by the relevant Partner. When you accept an offer, your purchase and sale agreement is directly with that Partner, subject to the applicable inspection and transaction terms. 1.4 SDS provides introduction and technology services. The Partner is responsible for fulfilling the purchase. 1A. Buying Through Listings 1A.1 Listings shown on SDS are provided by third-party retailers, dealers and marketplaces. Clicking a listing takes you to the seller's own website. 1A.2 Any purchase is made directly with that seller under its own terms, including price, delivery, warranty and returns. SDS is not a party to that contract. 1A.3 We aim to keep prices, conditions and availability accurate, but they are set by sellers and may change. Please check the details on the seller's site before buying. 1A.4 Some links are affiliate links and SDS may earn a commission if you buy. This never costs you more. See our Affiliate Disclosure for details. 2. Using Our Platform to Sell 2.1 To use SDS to sell a product, you must be at least 18 years old and legally entitled to sell the item. 2.2 You agree to provide accurate information about your product, including its model, specifications, condition and any known faults. 2.3 Products must be legally owned by you and must not be stolen, counterfeit, subject to outstanding finance or otherwise restricted from sale. 2.4 Before sending electronic devices, you are responsible for backing up and removing your personal data, signing out of accounts, removing activation locks and restoring factory settings where appropriate. 2.5 You must not misuse the platform, submit fraudulent information or interfere with its operation. 3. Quotes & Offers 3.1 Offers displayed through SDS are provided by independent Partners and are based on the product information you submit. 3.2 When you accept an offer, your transaction is passed to the chosen Partner for fulfilment. 3.3 All offers are subject to the Partner receiving and inspecting your product. If the item matches its description, the Partner is expected to honour the original offer. 3.4 If the item differs materially from its description, the Partner may provide a revised offer explaining the reason for the adjustment. 3.5 You may accept or decline a revised offer. If you decline, the Partner must arrange the return of your item in accordance with the free-return terms presented to you when you accepted the original offer. 3.6 SDS does not independently guarantee the accuracy, availability or fulfilment of Partner offers. 4. Shipping & Payments 4.1 Shipping instructions and any applicable prepaid postage will be provided as part of the transaction process. 4.2 Once an offer is accepted, the Partner is responsible for arranging or authorising shipping and handling delivery-related issues under the applicable shipping arrangements. 4.3 Partners are responsible for inspecting products, confirming final purchase prices and paying customers directly. 4.4 Payment times and available payment methods will be communicated through the relevant offer or transaction information. 4.5 SDS does not hold or distribute the purchase funds owed to customers. 4.6 If an item is lost, delayed or damaged during shipping, the responsible Partner will handle the relevant carrier claim and customer resolution. SDS may assist with tracking or communication but is not a carrier or parcel insurer. 5. Customer Support & Disputes 5.1 The Partner purchasing your item is responsible for resolving issues relating to its valuation, inspection, payment, shipping and returns. 5.2 Customers should contact the relevant Partner first regarding transaction-specific concerns. 5.3 SDS may assist in resolving disputes, communicating with Partners or investigating complaints where appropriate. 5.4 If you are unable to resolve an issue with a Partner, you can contact us at support@sds.net. 5.5 Nothing in these Terms removes any rights or remedies you may have under applicable law. 6. Accounts & Security 6.1 You are responsible for keeping your account details and login credentials secure. 6.2 You must provide accurate account information and notify us of any unauthorised access. 6.3 SDS may restrict or suspend accounts involved in fraud, misuse, unlawful activity or serious breaches of these Terms. 6.4 You may request account closure by contacting support@sds.net. Certain information may be retained where required or permitted by law, as explained in our Privacy Policy. 7. Our Services & Liability 7.1 SDS takes reasonable care in operating its platform and reviewing the businesses permitted to participate. 7.2 Partners remain independent businesses. SDS does not guarantee that a Partner will complete a transaction, honour an incorrectly described item valuation or make payment on time. 7.3 To the extent permitted by law, SDS is not responsible for losses caused by a Partner's own acts or omissions, including purchase decisions, inspections, payments, returns or shipping arrangements. 7.4 SDS remains responsible for its own legal obligations and for losses arising from its acts or omissions where liability cannot lawfully be excluded. 7.5 We cannot guarantee that our platform will always be uninterrupted, error-free or available. 7.6 Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot legally be excluded. Nothing affects your statutory rights. 8. Privacy & Intellectual Property 8.1 We handle personal information in accordance with our Privacy Policy. 8.2 Content, software, branding and materials belonging to SDS remain our property or that of our licensors. 8.3 You may use the platform for personal, lawful purposes but may not copy, misuse or commercially exploit its content without permission. 9. Changes & Governing Law 9.1 SDS may update these Terms to reflect changes to our services, legal requirements or business operations. 9.2 The latest version will be published on our website. We will provide appropriate notice of material changes affecting existing transactions. 9.3 Changes will not retrospectively remove contractual rights relating to transactions already entered into. 9.4 These Terms are governed by the laws of England and Wales. This does not deprive consumers living elsewhere in the UK of mandatory protections or applicable rights to bring proceedings in their home jurisdiction. 10.
